Introduction & Acceptance
Welcome to ranacorporation.com (the “Site”). These Terms & Conditions (“Terms”) govern your use of our Site, purchase of products, and engagement of services offered by Rana Corporation Pvt Ltd (“Company”, “we”, “us”, “our”).
By accessing our Site, placing an order, or signing a service contract, you agree to be bound by these Terms. If you do not agree, please do not use our Site or services.
These Terms are compliant with:
• Indian Contract Act, 1872
• Consumer Protection Act, 2019
• Information Technology Act, 2000 (including IT (Intermediary Guidelines) Rules, 2011)
• GST and other applicable tax laws
Definitions
Products
Electronics items such as ceiling fans, inverters, inverter batteries, voltage stabilizers, solar panels, lighting fixtures, LT/HT cables, panels, switchgears, etc.
Services
Fire fighting installation, internal/external electrification, DG set installation & overhaul, AMC, substation erection, earthing, cable laying, testing & commissioning, and any other electrical contracting work.
You/Customer
Any individual, business, or entity using our Site or purchasing from us.
Order
A request to purchase Products or book Services.
Eligibility
You must be at least 18 years old and legally capable of entering into contracts. By using our Site, you represent that you meet these requirements. For business purchases, you warrant that you have the authority to bind your organisation.
Products - Sale & Purchase
Product Information
We strive to display accurate descriptions, images, and prices for Products. However, minor variations in colour, design, or specifications may occur. We do not warrant that descriptions are error-free.
Pricing & Taxes
• All prices are in Indian Rupees (INR).
• Prices are exclusive of GST unless stated otherwise. GST will be added at checkout as per applicable rates (e.g., 18% or 5% etc.).
• We reserve the right to change prices without prior notice. However, once an order is confirmed, the price is locked.
Order Acceptance
After you place an order, we will send an acknowledgement email. This is not an acceptance. Our acceptance occurs when we dispatch the Product(s) or provide a confirmed service start date. We reserve the right to cancel any order due to:
• Product unavailability
• Pricing error
• Suspected fraud
• Non-payment or payment failure
Shipping & Delivery
• Delivery timelines are estimates only. We are not liable for delays caused by courier partners, weather, strikes, or other force majeure events.
• Risk of loss passes to you upon delivery. Please inspect Products immediately (see Refund Policy for damage claims).
Services - Contract Terms
Scope of Work
For every service engagement (fire fighting installation, electrification, AMC, etc.), a separate Service Agreement or Work Order will be issued. That document, together with these Terms, forms the binding contract.
Site Access & Safety
You agree to provide safe, unobstructed access to the installation site. You must inform us of any hidden hazards (e.g., asbestos, live wires, water leakage). We may suspend work if site conditions are unsafe.
Approvals & Permits
Unless explicitly agreed, obtaining statutory approvals (fire department NOC, municipal permits, etc.) is your responsibility. We may assist on a chargeable basis.
Service Completion
We will complete the agreed work with reasonable skill and care. Any minor deviations due to site conditions will be communicated. You shall not unreasonably withhold acceptance of completed work.
AMC Services
Annual Maintenance Contracts (AMC) are for preventive and breakdown maintenance as per the schedule in the AMC document. AMC does not cover replacement of major parts (e.g., transformer, DG alternator) unless specifically included.
Payments & Billing
Payment Methods
We accept:
• Bank transfer (NEFT/RTGS/IMPS)
• UPI (Google Pay, PhonePe, etc.)
• Credit/Debit cards (via payment gateway)
• Cheque / demand draft (subject to clearance)
Advance Payment
• For Products: Full payment is required before dispatch, unless a credit arrangement has been approved in writing.
• For Services: Typically 50% – 70% advance before commencement, balance upon completion. Custom projects may require milestone payments.
Late Payment
If you fail to pay any due amount:
• We may suspend ongoing services or cancel pending orders.
• Interest at 18% per annum will accrue on overdue amounts.
• You will be liable for all collection costs (legal fees, etc.).
Invoicing
We will issue a tax invoice as per GST rules. For any billing dispute, you must notify us within 15 days of invoice date.
Return, Refunds & Warranty
Product returns and service refunds are governed by our Refund & Returns Policy (available on the Site). In summary:
• Products: 7‑day return for unused/defective items; batteries and custom products non‑returnable.
• Services: Cancellation before work starts – full refund; after material procurement – 80% refund; after work commences – no refund unless our fault.
Manufacturer warranties on fans, inverters, batteries, solar panels apply beyond the 7‑day return period. We will assist with warranty claims but are not the warrantor.
User Obligations & Prohibited Conduct
You agree NOT to:
• Use our Site for any illegal purpose.
• Upload malicious code, viruses, or attempt to hack the Site.
• Misrepresent your identity or payment details.
• Resell our Products without written permission.
• Harass our staff or damage our equipment during service visits.
Violation may lead to immediate termination of access and legal action.
Intellectual Property
All content on ranacorporation.com (text, logos, images, graphics, videos, catalogs) is owned by Rana Corporation Pvt Ltd or its licensors. You may not copy, reproduce, distribute, or create derivative works without our prior written consent. The company name “Rana Corporation”, logo, and tagline “Complete Power Solutions” are registered trademarks (or pending registration).
Limitation of Liability
To the maximum extent permitted by Indian law:
• Products: Our liability for defective Products is limited to replacement or refund of the purchase price. We are not liable for any indirect damages (loss of profits, data, business interruption) arising from product use.
• Services: Our total liability for any service failure (excluding personal injury or death caused by our negligence) is limited to the amount you paid for that specific service. We are not liable for consequential losses (e.g., production downtime due to power failure).
• Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control (fire, flood, earthquake, pandemic, government orders, strikes, material shortages).
Indemnification
You agree to indemnify and hold harmless Rana Corporation Pvt Ltd, its directors, employees, and subcontractors from any claims, losses, damages, or expenses (including legal fees) arising out of:
• Your breach of these Terms.
• Your misuse of our Products.
• Your failure to provide a safe work site or necessary approvals for Services.
• Any third-party claim resulting from your actions.
Termination
We may suspend or terminate your access to the Site or cancel any order/service if:
• You violate any provision of these Terms.
• You fail to pay due amounts.
• We suspect fraudulent activity.
Termination does not affect any outstanding payment obligations or accrued rights.
Governing Law & Dispute Resolution
• These Terms are governed by the laws of India.
• Any dispute arising out of or relating to these Terms, your purchase, or our services shall first be attempted to be resolved through good faith negotiations within 30 days.
• If unresolved, the dispute shall be referred to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in Delhi in the English language, by a single arbitrator mutually agreed upon.
• For claims of a small value (under ₹50,000), either party may approach the Consumer Disputes Redressal Forum having jurisdiction over Shamli (UP).
• Exclusive jurisdiction: Courts in Shamli (UP) shall have exclusive jurisdiction.
Changes to These Terms
We may update these Terms from time to time. The revised version will be posted on this page with an updated “Last Updated” date. Continued use of our Site or services after changes constitutes your acceptance. Material changes will be notified via email or a site banner.
Severability
If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.
Entire Agreement
These Terms, together with our Privacy Policy, Refund & Returns Policy, and any specific Service Agreement or Work Order, constitute the entire agreement between you and Rana Corporation Pvt Ltd regarding your use of the Site and our offerings.
